Chapter 1 — Preliminary Provisions
States the purpose and official name of the Law, defines its principal terms and directs that it be interpreted consistently with the Constitution, the Civil Code and general principles of international law.

Chapter 2 — Mandate and Functions of Companies
Defines a company's commercial purpose and legal personality, distinguishes private and public companies, and addresses shareholder liability, lawful authority and domestic or foreign trade.

Chapter 3 — Establishment
Sets who may form a company, the required contents of its articles of association, when registration takes effect and how the founding document may be amended.

Chapter 4 — Company Name

Chapter 6 — Management
Provides for appointment and powers of managers, employees and representatives, and sets duties concerning company property, conflicts, authority, reimbursement and guarantees.

Chapter 7 — Finance

Chapter 9 — Merger of Companies
Sets the plan, approval, registration and legal effects of domestic or cross-border mergers, including transfer of assets and liabilities and protection of creditors and dissenting shareholders.

Chapter 10 — Dissolution
Regulates voluntary, judicial, time-based and insolvency-related dissolution, together with notice, winding up, claims, litigation and distribution of remaining company property.

Chapter 11 — Annual Report
Requires foreign companies to file an updated annual report with the Registrar, specifies its timing and core information, and provides consequences for failure to file.

Chapter 12 — Unlawful Acts by Companies
Identifies company non-compliance, authorises action by the Registrar and courts, limits the operations of a company in breach and provides procedures to correct or appeal the finding.

Chapter 13 — Reinstatement of a Dissolved Company
Allows a dissolved company to be reinstated when the required approvals, creditor protections and legal conditions are met, and regulates re-registration, naming and the effect of reinstatement.

Chapter 14 — Registration of Administrative Documents
Provides detailed rules for filing, correcting and amending company documents, fees, electronic submissions, the Registrar's duties, certificates, notices and appeals against refused registration.

Chapter 15 — Foreign Companies
Requires foreign companies doing business in Somalia to obtain and register a permit, sets the effects of operating without one, and governs licence changes, revocation, rights and responsibilities.

Chapter 16 — Transitional and Final Provisions
Brings existing domestic and foreign companies into the new registration system and addresses transitional filings, ministerial regulations, amendment or suspension of the Law, repeal of conflicting rules and commencement.
